By placing your order, you agree to the following
Terms of Service:
1. I understand and agree that I have placed an order that requires
acceptance by Your Incorporation.com, Inc. at its offices in North
Carolina and does not become a firm or binding contract until so
accepted.
2. I understand and agree that I have contacted Your Incorporation.com,
Inc. at its place of business in the state of North Carolina and
that this transaction, including the placement and fulfillment of
my order takes place solely in North Carolina, regardless of my state
of residence, the state of incorporation, where I was physically
present at the time of placing my order, or where my internet service
or browser might be located.
3. I understand and agree that Your Incorporation.com, Inc. does
not give legal, tax or accounting advice and serves only as a service
provider for the completion and delivery of my documents.
4. I understand and agree that Your Incorporation.com, Inc. and its
lawyers, agents and employees will review my documents to determine
that it will likely be accepted for filing by the appropriate regulatory
agencies, but not for any other purpose. Neither Your Incorporation.com,
Inc. nor its lawyers, agents and employees have given any counsel,
representations, warranties or advice as to the legal, tax or accounting
consequences of my final selections.
5. I understand and agree that that no state or federal regulatory
authority or official has passed upon the adequacy or accuracy of
my documents or any information of Yourincorporation.com, Inc.
6. I agree that Your Incorporation.com, Inc. will prepare and submit
documents to the filing officials at the Secretary or Department
of State for recordation, and prepare the initial incorporation/LLC
documents as listed on my document download. I acknowledge that there
may be other documents required by my jurisdiction, such as state
S corp elections, state revenue tax numbers and listings, initial
lists of officers, annual reports, property tax listings, state or
local licenses, and other documents. This list, and the information
in my closing letter, are suggestions and may not be a complete list.I
agree that YourIncorporation.com, Inc. is responsible only for the
documents prepared as listed in my document download and is not responsible
or liable for any other documents, filings, taxes, licenses, or other
obligations.
7. I understand and agree that if I am unsatisfied with the services
of Your Incorporation.com, Inc. my SOLE REMEDY will be the return
of fees paid for the service. I EXPRESSLY WAIVE any other claims,
demands, lawsuits, suits in equity, and other actions, that could
or might be brought by me. I Agree that Charlotte, North Carolina
shall be exclusive venue for any lawsuits, arbitrations, mediations
or other claims made by me.
8. I understand and agree that that YOUR INCORPORATION.COM, INC.
MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE. YOUR
INCORPORATION.COM, INC. ITS LAWYERS, AGENTS, AND EMPLOYEES SHALL
NOT BE LIABLE FOR ANY DAMAGES, WHETHER ACTUAL, DIRECT, INDIRECT,
EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR OTHER. NEITHER YOUR INCORPORATION.COM,
INC. ITS LAWYERS, AGENTS, AND EMPLOYEES SHALL BE LIABLE TO YOU OR
YOUR BUSINESS FOR ANY DAMAGES WHETHER ACTUAL, DIRECT, INDIRECT, EXEMPLARY,
CONSEQUENTIAL, PUNITIVE, OR OTHER OR FOR LOST PROFITS, BUSINESS OPPORTUNITIES,
TAX CONSIDERATIONS, REVENUES, RENTS OR ROYALTIES ARISING FROM THE
SERVICES PROVIDED BY YOUR INCORPORATION.COM, INC. OR THIS AGREEMENT.
